On December 31, 2008 WebFinancial Corporation, a Delaware corporation, completed through a merger transaction its conversion into WebFinancial L.P., a Delaware limited partnership.

On April 2, 2009 WebFinancial L.P. changed its name to Steel Partners Holdings L.P.

On July 15, 2009 entities related to Steel Partners II, an investment partnership, finalized an exchange transaction where certain of its assets were contributed to Steel Partners Holdings L.P. in exchange for Common Units of Steel Partners Holdings L.P.
